1. Agreement to terms
By engaging Big Helpers Software and Solutions Private Limited ("Big Helpers", "we", "us") for any service — website development, mobile app development, business automation, maintenance, or consulting — you ("Client") agree to these terms. A specific written proposal or quotation, once accepted, supersedes any conflicting term here.
2. Services
Each engagement is governed by a specific written proposal that defines scope, deliverables, timeline, and price. Big Helpers will:
- Deliver the agreed scope as per the timeline.
- Provide weekly progress updates during active development.
- Hand over all source code, design files, and credentials at project completion.
- Offer post-launch support as specified in the proposal (typically 30-90 days).
3. Client responsibilities
You agree to:
- Provide content, brand assets, and feedback on agreed timelines.
- Make payments per the agreed milestone schedule.
- Ensure all content you provide is lawful and you have rights to use it.
- Provide a single point of contact for project decisions.
4. Pricing and payment
- All prices in the proposal are in Indian Rupees (₹) and exclusive of GST unless explicitly stated otherwise.
- GST is added at the prevailing rate (typically 18%).
- Standard payment structure: 50% advance, 30% mid-project milestone, 20% on launch — unless otherwise agreed.
- We accept UPI, bank transfer, cards, and cheques. International clients can pay via wire transfer.
- Payment terms: due within 7 days of invoice date.
- Overdue invoices accrue interest at 1.5% per month.
5. Scope changes
Scope changes are common and welcome. New requirements added after the original proposal acceptance will be quoted separately as a Change Request. We will not start work on additional scope without written approval and pricing acceptance.
6. Ownership and IP
- Upon final payment, all custom code and design specifically created for your project becomes your property — without restriction.
- We retain ownership of pre-existing tools, libraries, frameworks, and reusable components we use across multiple projects (you receive a perpetual licence to use these as part of your delivered project).
- Open-source components are subject to their respective licences.
- We may showcase the finished work in our portfolio unless you specifically request confidentiality (NDA available on request).
7. Confidentiality
We will not disclose any confidential business information you share with us. We are happy to sign a mutual NDA on request — typically a standard 2-page agreement that we can sign before sharing project specifics.
8. Warranty and post-launch support
- We warrant that the deliverables will function as per the agreed specification at the time of launch.
- Bugs reported during the included post-launch support window (30-90 days based on plan) will be fixed at no additional cost.
- Bugs reported after the support window are billed at our then-prevailing maintenance rate, or you may opt for our monthly retainer.
- Issues caused by client modifications, third-party plugins/services, or hosting changes are not covered under warranty.
9. Refund and cancellation
- If you cancel a project mid-way, you only pay for work completed up to that point — assessed honestly based on progress demos and milestones reached.
- We do not refund the initial advance once meaningful work has begun (typically 1 week into the project).
- If we cancel a project for any reason, we will refund the unused portion of payments made.
10. Liability
Our maximum liability for any claim arising from a project is limited to the total fees paid by you for that specific project. We are not liable for:
- Indirect, incidental, or consequential damages.
- Loss of business, profits, or data.
- Issues caused by third-party services (hosting providers, payment gateways, APIs).
- Issues arising from client modifications post-handover.
11. Force majeure
Neither party is liable for delays caused by events outside reasonable control — including acts of God, government action, internet outages, pandemic, or natural disasters.
12. Governing law
These terms are governed by Indian law. Any disputes will be resolved through good-faith negotiation first, then through arbitration in Madhya Pradesh under the Indian Arbitration and Conciliation Act, 1996. Courts in Madhya Pradesh have exclusive jurisdiction.
13. Changes to these terms
We may update these terms from time to time. The latest version will always be at this URL. Changes do not retroactively apply to active engagements — your engagement is governed by the terms in effect when your proposal was accepted.
